commercial law and insurance defense.
Business/Corporate: The firm’s practice includes incorporation, mergers, dissolutions,
bankruptcies, shareholder agreements, shareholder disputes, contract disputes, general and limited
partnership agreements, purchase and sale of companies, annual meetings, licensing agreements,
distribution agreements, authorized dealer agreements, subscription agreements and trademark and
copyright protection.
Banking: Representation of banks and financial institutions with regard to loans, collections,
lender liability matters, bank operations, forgeries and other litigation.
Employment Law Defense: Representation of employers in administrative proceedings at
the Equal Employment Opportunity Commission (EEOC), Texas Workforce Commission (TWC);
Trial defense of employers in cases arising under Title VII of the Civil Rights Act, the American
with Disabilities Act (ADA), Age Discrimination in Employment Act (ADEA), and other
discrimination statutes, both federal and state. Drafting and reviewing employment related
documents such as releases, employee handbooks, company’s affirmative action policies,
employment contracts and employment applications, and general counseling on employer-employee
relations.
International: Representation of foreign investors in general business planning, with
emphasis on structuring inbound investments in U.S., including formation and operation of domestic
and offshore corporations, as well as the international aspects of real estate, wills, probate and trust
law. Representation of clients in international litigation, including enforcement of foreign judgments.
Real Estate: Representation of investors, companies and financial institutions in real estate
acquisitions, sales, leases, mortgages, foreclosures, and financing ranging from residential and
commercial loans to loan participations.
